We're hiring our first in-house commercial counsel to own the legal side of deal execution. This is not a compliance or governance role — it's a deal acceleration role. You'll own the full contract lifecycle — MSA, DPA, Order Forms, security addenda, and customer redlines — and build the playbook that lets the majority of deals close without legal intervention at all.
What You'll Do
• Own all commercial contract negotiation and execution — MSAs, DPAs, Order Forms, amendments, renewals • Review and turn customer redlines in hours, not days • Build and maintain a contract playbook — pre-approved fallback positions, self-serve templates for SMB/MM, approved language library • Work directly with the sales team — you'll know which deals are strategic and which redlines matter • Manage outside counsel for complex or novel matters — international compliance, regulatory, M&A-adjacent terms • Own Japan APPI compliance and addenda for our growing JP enterprise business • Partner with Customer Success on renewal and expansion contract terms • Build scalable legal processes so SMB/MM self-serves where possible, while Enterprise gets faster, cleaner turns.

What We're Looking For
• 7-12 years of experience in commercial/transactional law, ideally at a high-growth enterprise SaaS, experienced in series rounds and/or IPO. • Deep experience with enterprise MSAs, DPAs, data privacy frameworks (GDPR, CCPA, APPI), and security addenda • Has built a contract playbook before — you know how to turn bespoke legal work into repeatable, scalable processes • Comfortable working embedded in a sales team, not in a legal silo. You attend pipeline reviews, you know deal context, you move fast. • Experience managing outside counsel relationships — know when to escalate vs. handle in-house • SOC 2, ISO 27001 environment experience preferred • International experience strongly preferred — EMEA (GDPR) and APJ (especially Japan APPI). We have a significant and growing enterprise business in Japan, with EMEA expansion ahead. • Bar admission in at least one US state preferred.
